Terms of Service
Effective date: January 1, 2026
Agreement and scope
These Terms of Service govern your access to and use of the Openwillowpath website and related services provided by Openwillowpath. By accessing or using the site, requesting a consultation, or engaging our services, you agree to be bound by these terms. If you enter into a separate written agreement with Openwillowpath, that agreement will govern the services described in it and will prevail over conflicting terms here. These terms apply to all visitors, clients, and users of the site. They explain permitted use, intellectual property rights, limitations of liability, disclaimers, and other important terms. If you do not agree to these terms, please do not access or use our site or services. We may update these terms periodically; material changes will be posted with a revised effective date and, when required, notified to active clients through the contact information on file.
Services and engagements
Openwillowpath provides strategy, product-health, operational, and capability-building services designed for long-term business growth. Service descriptions, deliverables, timelines, fees, and specific terms will be set out in proposals or statements of work. Engagements begin after mutual acceptance of those documents and any required deposit or payment. All estimates and timelines are based on information available at the time of proposal and may change if requirements change. We strive to transfer skills and provide documented playbooks so our clients can sustain improvements; ownership of deliverables and intellectual property is governed by the applicable engagement agreement. Where a client relationship exists, the written client agreement will address confidentiality, data handling, and performance details in addition to these terms.
User obligations and acceptable use
When using our website, you agree to provide accurate contact information when requested and to keep those details current. You must not use the site for unlawful purposes, attempt to bypass security, or interfere with other users. The site may include tools for submitting information and requesting services; you are responsible for the content you submit and for ensuring it does not infringe third-party rights. If you access client-only resources or tools as part of an engagement, you must maintain reasonable security on credentials and promptly notify us of any unauthorized access. We reserve the right to suspend or terminate access for misuse or abusive behavior.
Intellectual property
All content on the site, including text, graphics, logos, icons, images, templates, and software, is protected by copyright, trademark, and other intellectual property laws and is owned or licensed by Openwillowpath. You may view and download content for your personal or internal business use only, provided you keep all copyright and proprietary notices intact. You may not reproduce, distribute, publish, create derivative works from, or otherwise exploit our content for commercial purposes without prior written consent. For client engagements, ownership of deliverables will be set out in the engagement agreement; typically, deliverables specifically prepared for a paying client will be licensed to that client, while underlying methodologies, templates, and tools remain our intellectual property unless otherwise agreed in writing.
Disclaimers and limitation of liability
The information and materials on the site are provided "as is" without warranties of any kind. Openwillowpath does not warrant that access will be uninterrupted or error-free. To the fullest extent permitted by law, Openwillowpath disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. In no event will Openwillowpath or its affiliates be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business opportunities, whether in an action in contract, tort, or otherwise, arising from your access to or use of the site or services. Our aggregate liability for direct damages arising from an engagement is limited to amounts actually paid to Openwillowpath under that engagement in the 12 months preceding the claim, unless otherwise agreed in writing. Some jurisdictions do not allow certain limitations, so certain provisions may not apply to you. Risk-based professional judgment guides our recommendations; results cannot be guaranteed because outcomes depend on many factors outside our control.
Confidentiality and data
When you share confidential business information as part of an engagement, we will treat it as confidential and handle it according to the terms of the engagement agreement and applicable law. For general website inquiries, contact form submissions are retained to respond and to maintain a record for business purposes. Our privacy practices are described in detail in our Privacy Policy at /privacy/. If you are a client, data handling, storage, and transfer provisions will be specified in your client agreement, including any special requirements for sensitive data. We use industry-standard safeguards, but no transmission or storage system is fully secure; please refrain from including highly sensitive personal data in initial inquiries unless requested.
Third-party links and services
The site may contain links to third-party websites and resources. Links are provided for convenience and do not imply endorsement. We are not responsible for the content, practices, or privacy policies of third-party sites. If you use third-party services recommended or used by Openwillowpath, you may be subject to that provider's terms and policies. We encourage you to review those terms and privacy practices before engaging with third-party services.
Termination and modifications
We may suspend or terminate access to the site or services at any time for maintenance, security, or policy reasons. We may also modify these Terms of Service; we will post an updated version on this page with a revised effective date. If changes are material, we will provide notice to active clients via the contact information on file. Continued use of the site following notice constitutes acceptance of the modified terms. Termination of services does not relieve you of obligations incurred prior to termination, including payment obligations and sections that by their nature survive termination, such as confidentiality, intellectual property, disclaimer, and indemnity provisions.
Governing law and dispute resolution
These terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules. For clients and users in other jurisdictions, local mandatory rights remain applicable. Parties will seek to resolve disputes in good faith by negotiation first; if unresolved, disputes will be subject to the courts located in New York County, New York, unless otherwise agreed in a written engagement agreement. You may have the right to bring claims in your local consumer forum if local laws provide protection that cannot be waived.
